3. Intellectual Property Rights
Our intellectual property structure ensures your business maintains control over its custom solutions:
- Client Ownership: Upon final deployment and full payment, clients retain ownership of the custom code explicitly developed for their project.
- Retained Rights: BA Software Solutions retains ownership of any pre-existing proprietary code, base automation scripts, or internal architectures utilized to accelerate the build process. You are granted a perpetual, non-exclusive license to use these underlying components within your final product.
4. Client Portal Access
Access to the BA Software Solutions Client Portal is restricted to active clients. You are responsible for maintaining the confidentiality of your account credentials. We reserve the right to suspend portal access if we detect unauthorized use or a breach of our security protocols.
5. Payment Terms
Project pricing, deposit structures, and invoice schedules are defined in your specific SOW. Failure to remit payment according to the agreed-upon timeline may result in the suspension of active development or withholding of final deliverables.
6. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these terms will be handled within the jurisdiction of New York State.
